Quick Reviews NZ Ltd – Reseller Terms & Conditions

1. Overview

These Terms & Conditions (“Agreement”) outline the rules and responsibilities for participants (“Resellers”) in the Quick Reviews Reseller Program operated by Quick Reviews NZ Ltd (“Company”, “we”, “our”, or “us”).
By joining the program, you agree to these terms in full.

2. Eligibility

To qualify as a Reseller:

- You must be at least 18 years old and operate as an individual, sole trader, or registered business.

- You must provide accurate contact, payment, and tax details.

- Acceptance into the program is at our sole discretion and may be revoked at any time.

3. Program Description

Resellers earn commissions by referring new customers to Quick Reviews through approved referral links or widgets.
You may promote:

- Email Widgets

- Quick Reviews Monthly Plans

- NFC Products

Any other eligible product or service made available through the program.

4. Commissions & Payments

- Commissions are based on the tiered structure published on our reseller page (e.g., 30% / 40% / 50%).

- All commissions are calculated after Stripe processing fees have been deducted.

- Payouts are made automatically via Stripe Connect each month once your balance reaches NZD $50 or equivalent.

- You are responsible for maintaining an active Stripe Connect account and ensuring your payout details are correct.

- Commissions apply only to paid, non-refunded transactions directly attributed to your referral link or assigned business ID.

- We reserve the right to withhold or reverse commissions from fraudulent, cancelled, or refunded sales.

5. Reseller Responsibilities

Resellers agree to:

- Represent Quick Reviews honestly and professionally.

- Use only approved marketing materials or obtain written approval for custom content.

- Avoid misleading, spam-based, or unethical marketing practices.

- Comply with all applicable advertising, data protection, and privacy laws in your region.

6. Use of Branding

- You may use Quick Reviews’ name and assets solely to promote our products.

- You may not modify our logo, claim to be an employee, or represent yourself as an official partner.

- All marketing materials must clearly identify you as an independent reseller.

7. Termination

We may suspend or terminate your reseller account:

- For violation of these terms;

- For inactivity exceeding 12 months;

- Or at our discretion, with reasonable notice.

Any valid commissions accrued prior to termination will be paid out following the next payment cycle.

8. Taxes

Resellers operate as independent contractors.
You are solely responsible for reporting and paying any applicable taxes (e.g., GST, VAT, or income tax) on your earnings.

9. Liability & Disclaimer

Quick Reviews NZ Ltd will not be liable for:

- Any loss resulting from misuse of our materials;

- Technical errors, payment delays, or outages beyond our reasonable control.
Participation is at your own risk. We make no guarantees of income or performance.

10. Disputes & Governing Law

This Agreement and any disputes arising from it shall be governed by and interpreted in accordance with New Zealand law.
By participating, you agree that any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.

11. Modifications

We may update these Terms from time to time. Any significant changes will be communicated to active resellers via email or their reseller dashboard.
